Terms & Conditions
Arch Design by B LLC is a Delaware-registered limited liability company. By booking or using our virtual design and drafting services, purchasing from our online shops, or downloading digital products, you agree to these Terms & Conditions. They apply whether you are an individual homeowner or consumer (B2C) or a business, firm, contractor, developer, or other organization (B2B).
1. Introduction
These Terms & Conditions govern your use of Arch Design by B's remote design services, shop purchases, and digital products. "We," "us," and "our" refer to Arch Design by B LLC. "Client" (also "you" or "Customer" at checkout) means the person or entity that engages our services or completes a purchase—whether an individual (B2C) or a company or other entity (B2B). For B2C, this includes—among other offerings—curated virtual design packages from our packages catalog (e-design), products from the Read shop, digital goods from the digital shop, consultations, and homeowner-specific work described at checkout or in your Proposal. Shop-specific terms are in Section 16. B2B-specific terms in Section 13 apply in addition to the rest of these Terms when Client is a business.
Professional credentials & U.S. practice. Arch Design by B is led by a registered architect in Honduras. We are not licensed to practice architecture in the United States and do not represent ourselves as U.S.-licensed architects. Design and drafting services are offered to clients worldwide on a remote basis. We do not issue U.S. architectural stamps or sealed plans under our own credentials. When a jurisdiction requires sealed or stamped drawings, we may coordinate, upon request, with appropriately licensed U.S. engineers or architects, who are solely responsible for any stamped or sealed documents. The same summary appears in our site footer; both are for your information and do not replace advice from licensing boards or counsel.
2. Services & Packages
All design services are fully virtual; Clients must supply accurate measurements and as-built data. Curated virtual design packages (e-design)—the main fixed-fee path for B2C homeowners and individuals—are listed and compared on the packages page; categories may include interior design, styling, and architectural-style plans, among others, and the catalog may change over time. Businesses may purchase packages too; in that case Section 13 (B2B) applies in addition. We also operate the Read shop and digital shop for product and downloadable purchases (see Section 16). Depending on what you purchase, services may also include Designer Support (remote consultations and resources for design professionals—see Section 14), ADU remote building design and permit-documentation support (see Section 15), and one-off consultations. Full details appear in your Proposal, checkout, or written agreement.

3. Client Responsibilities
- Design Questionnaire & Data: Complete our questionnaire within 5 business days and provide accurate measurements, surveys, zoning info, and existing drawings.
- Data Accuracy: We rely solely on Client-supplied data; we are not liable for errors or omissions therein.
- Product Ordering: Order approved items within 14 business days of final approval; we do not guarantee stock or pricing.
- Communication: All correspondence via email or project platform; phone/SMS by prior arrangement only.
4. Payment Terms & Schedule
- Milestones & Invoices: Invoices are issued per Proposal (e.g. 60%/20%/20% or 50%/50%). Payment for each milestone is required and must be received in full before work on the next project phase can commence.
- Late Payments: Overdue balances (30+ days) incur 1.5% monthly interest.
- Refunds & Cancellations: Full refund if cancelled before work begins. After commencement or final deliverables, retainers are non-refundable; Client pays for work performed.
5. Consultation Cancellation Policy
- 72-Hour Cancellation Window: You may cancel or reschedule a consultation up to 72 hours before the scheduled time for a full refund.
- Late Cancellations: If you cancel or try to reschedule less than 72 hours before your consultation, you will be charged in full (i.e. no refund).
- Cancellation/Reschedule Limits: You are allowed one cancellation and one reschedule per completed consultation. Any more cancellations or reschedules beyond that may be declined and charged in full.
- Same-Day Bookings: Consultations booked less than 72 hours in advance cannot be cancelled or rescheduled and will be charged in full.
6. Revisions & Change Orders
- Unless your Proposal, checkout, or written agreement states otherwise for a specific service (for example ADU or Designer Support), each package includes up to three consolidated revision rounds per deliverable.
- Additional revisions billed at $125/hr upon written Change Order.
7. Deliverables & Intellectual Property
- All design documents remain our property until full payment is received.
- Upon final payment, Client receives a non-exclusive, perpetual license to use deliverables solely for construction or implementation of the described project.
- Editable CAD/DWG files provided only if included in the chosen package.
8. Limitation of Liability & Warranty Disclaimers
- We disclaim liability for errors from inaccurate Client-supplied measurements or surveys.
- No guarantee of permitting, code compliance, structural adequacy, or energy-code conformance unless explicitly contracted.
- Our total liability shall not exceed total fees paid by Client.
9. Project Timeline & Delays
- Timelines assume prompt receipt of data and approvals. Client-caused delays extend schedules accordingly.
- Force Majeure: Neither party liable for delays beyond reasonable control (e.g. natural disasters).
10. Confidentiality
Both parties agree to keep proprietary information confidential and not to disclose it without prior written consent.
11. Governing Law & Dispute Resolution
These Terms are governed by Delaware law. Disputes resolved in courts of New Castle County, Delaware.
12. Amendments
We reserve the right to amend these Terms at any time. Changes will be communicated in writing and apply to future work.
13. Business-to-business (B2B) clients
When Client is a company, partnership, sole proprietorship operating under a business name, design firm, contractor, developer, or other entity (not acting solely as an individual consumer), the following applies in addition to all other Terms:
- Authority: The person booking, paying, or accepting these Terms represents that they are authorized to bind the organization.
- Billing & tax: Invoices and tax-related documentation may be issued in the legal business name and address on file. Arch Design by B is a foreign-owned business for U.S. tax purposes; as payee we provide IRS W-8 series forms (e.g. W-8BEN, W-8BEN-E, or other applicable W-8) when required for U.S. withholding or reporting—we do not use Form W-9. U.S. business clients (B2B) will provide their valid tax identification number and employer or business name for billing and records when requested.
- Purchase orders & references: If Client uses purchase orders, Client must provide the PO number and any required billing references before work begins; payment due dates follow the Proposal or invoice unless a separate signed agreement specifies different net terms.
- Your customers: If Client resells, white-labels, or bundles our deliverables for Client's own end customers, Client is solely responsible for its agreements with those parties. Our contract is only with the named Client.
- Insurance & additional terms: Industry-specific insurance, indemnity, or flow-down requirements may be addressed in a separate Statement of Work, Master Services Agreement, or addendum signed by both parties.
14. Designer Support services
Designer Support includes remote consultations (including scheduled “fit” or discovery calls), questionnaires, and related resources offered through the Designer Support area of our website.
- Fees & scheduling: Rates, duration, and availability are as stated at the time of booking or in your Proposal. Section 5 (Consultation Cancellation Policy) applies to individually booked calls unless a separate B2B retainer or written agreement explicitly states otherwise.
- Nature of advice: Guidance is educational and operational support for your design practice, not a substitute for jurisdiction-specific legal, engineering, or code advice unless separately contracted.
- Confidentiality: Either party may request mutual confidentiality for shared business methods or client lists; standard Section 10 applies unless a separate NDA is executed.
15. ADU services
ADU (accessory dwelling unit) offerings describe remote building design, drafting, and permit-oriented documentation as described on the ADU service page and in your Proposal, checkout, or invoice.
- Payment schedule: Unless otherwise stated in a written Proposal or agreement, fees may follow a milestone structure such as 60% / 20% / 20% (initial payment plus later installments tied to agreed project milestones).
- Revisions: The purchased scope may include a stated number of consolidated design revision rounds; rounds beyond that may require a Change Order at our then-current hourly rate.
- U.S. licensure & stamps: ADU and permit-oriented work follows the same rules as in Section 1 (professional credentials & U.S. practice) and our site footer.
- Permitting: Final permit approval depends on your city, site conditions, and review comments; timelines in marketing materials are estimates only.
16. Read shop, digital shop & digital products
In addition to design services, we offer product and digital sales through the Read shop (/read/shop/) and the digital shop (/digitalshop/), including—depending on the catalog—e-books, artwork and downloadable files, and related items described on each product page.
- Separate from custom design: Shop and digital purchases are product sales unless a listing explicitly states they include custom design work governed by a Proposal.
- Prices, shipping & fulfillment: Product availability, pricing, taxes, shipping regions, and delivery timelines are as shown at checkout or on the product page and may change. Digital items are fulfilled electronically after successful payment.
- Downloads & access: Digital downloads may require a customer account, secure links, or time-limited tokens as described at purchase or in your confirmation email. You are responsible for saving files; reissue of expired links may be at our discretion.
- License & use: Unless a product page or separate license says otherwise, you receive a personal, non-exclusive license to use digital content for your own use; you may not copy, resell, redistribute, or publicly share files except as allowed by law or the specific product terms.
- Refunds: For digital goods, refunds may be limited or unavailable once delivery or download has begun, consistent with applicable law and the policy stated at checkout. Physical or third-party fulfillment items follow the return policy shown with the product where applicable.
- B2B: Businesses purchasing from the shops remain subject to Section 13 where relevant (e.g. billing and authority).
17. Agreement
By engaging our services or completing a purchase, you confirm you have read, understood, and agree to these Terms & Conditions in full.
